About the Role

Coop Bank is looking for a highly skilled Legal Officer to provide comprehensive legal and governance support to the Bank. The successful candidate will advise on legal matters, manage contracts, handle litigation, and ensure compliance with banking and regulatory frameworks.

This role requires a professional with strong integrity, proven legal expertise, and the ability to thrive under pressure while safeguarding the Bank’s interests.

Key Responsibilities

A. Legal Advisory

  • Provide timely and accurate legal advice on banking operations, contracts, employment, and regulatory issues.

  • Interpret and apply laws, regulations, and internal policies affecting the Bank.

  • Draft and review policies, manuals, and procedures to ensure compliance.

B. Contract Management

  • Draft, review, and negotiate contracts, leases, MoUs, NDAs, and other agreements.

  • Ensure contracts protect the Bank’s interests and mitigate legal risks.

  • Maintain a contract register, tracking renewals and expiries.

C. Litigation & Dispute Resolution

  • Manage all litigation matters involving the Bank in collaboration with external counsel.

  • Prepare legal documentation and affidavits for court proceedings.

  • Represent the Bank in courts, arbitrations, tribunals (including CMA), and other forums.

D. Regulatory Compliance

  • Monitor and interpret legal and regulatory changes affecting banking operations.

  • Ensure compliance with Bank of Tanzania (BOT) regulations, AML/CFT laws, tax requirements, and other sector laws.

E. Corporate Governance & Secretarial Support

  • Assist with preparation of Board and Committee meetings, including minutes, resolutions, and statutory filings.

  • Maintain statutory records and registers.

  • Support the Head of Legal/Company Secretary on governance matters.

F. Legal Risk Management

  • Identify and mitigate legal risks across Bank operations.

  • Support internal investigations and respond to auditors or regulators.

  • Conduct internal legal audits and compliance assessments.

Qualifications & Experience

  • Bachelor of Laws (LL.B) from a recognized institution.

  • Postgraduate Diploma in Legal Practice and admission as an Advocate of the High Court of Tanzania.

  • Minimum 3–5 years’ post-qualification experience in a law firm, financial institution, or corporate legal department.

  • Strong knowledge of Tanzanian laws relating to banking, employment, contracts, and compliance.

  • Experience engaging with regulators (BOT, TRA, BRELA) is an added advantage.

Skills & Competencies

  • Excellent legal drafting and contract negotiation skills.

  • Strong research and analytical ability.

  • Understanding of corporate governance and financial regulations.

  • Professional communication skills (written and verbal).

  • High integrity, confidentiality, and professionalism.

  • Ability to work independently and meet deadlines under pressure.

  • Proficiency in Microsoft Office and legal research tools.

  • Strong organizational and time management skills.
